pataBiz Terms and Conditions of Use

Welcome to Pata Biz ("we," "us," "our," or the "Company"). If you use the www.patabiz.co.ke (collectively, the "Platform") website you agree to be bound by these terms and conditions. If you do not agree to these Terms, please do not use our Platform.

You must be at least 18 years old to use our Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms.

Your Registraion on use of the Contact Form

By completing the contact seller form on https://patabiz.co.ke, you authorise us to keep a record of your details, and you authorise us to send an email on your behalf to the seller(s) of the business or franchise that you have enquired to.

You will be registered to receive e-newsletters and marketing material by default – you can unsubscribe at any stage by clicking the ‘Unsubscribe’ link on an email, and/or adjusting your settings on the profile page on the 'My Dashboard' tab.

1. Definitions

Platform
Collectively, the Website, and Internet-based marketing tools, including, the PataBiz site, and functionality related to publishing the Listings on the PataBiz site.
Listing
means any business opportunity, franchise, or commercial property advertisement posted on the Platform
User
means any person who accesses or uses the Platform
Buyer
means any User interested in purchasing a business opportunity
Seller
means any User who posts a Listing on the Platform
Broker
means any licensed business intermediary using the Platform
Platform
means our website, mobile applications, and all related services
Submitted Content
Any information, data, text, videos, photographs, imagery, graphics, messages, links, expressions of ideas and other content you submit on the Platform to be publicly displayed on the Platform.
Website
The Platform's website and mobile application in which these Terms of Use are referenced

2. Permitted Uses

You may use the Platform to:

  • View and search business opportunities and listings
  • Post legitimate business opportunities for sale
  • Communicate with potential buyers or sellers
  • Access market information and resources
  • Use our tools and calculators for business valuation

3. Prohibited Uses

You agree NOT to:

  • Post false, misleading, or fraudulent information
  • List businesses you do not own or have authority to sell
  • Use automated systems to scrape or copy content
  • Post duplicate listings for the same business
  • Include contact information in listing descriptions
  • Market properties without proper consent
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code or viruses

4. User Accounts

  • You must provide accurate, current, and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to notify us immediately of any unauthorized use of your account
  • You are fully responsible for all activities that occur under your account

5. Listing Requirements

For Sellers

  • All listings must be accurate and up-to-date
  • Businesses must be accurately represented with truthful financial information
  • Listings must be removed immediately when no longer available
  • Only one listing per business opportunity is permitted
  • Response to buyer inquiries must occur within 72 hours

6. Fees and Payment

You are responsible for the timely payment, using the currency and payment method indicated, of any fees incurred by your use of the Platform and any services available on the Website or via links to other websites, whether ordered through the Website, sales team or otherwise.

  • Fees for paid for services are non-refundable unless otherwise specified
  • Payment is due at the time of service purchase
  • We reserve the right to change fees with reasonable notice
  • Late payments may incur additional charges
  • All fees are exclusive of applicable taxes

7. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. User-Generated Content

By posting content on the Platform, you:

  • Grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content
  • Represent that you have the right to post such content
  • Acknowledge that we may moderate or remove content at our discretion
  • Retain ownership of your content but grant us usage rights for Platform operations

9. Disclaimer of Warranties

The Platform and all content are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

  • Merchantability or fitness for a particular purpose
  • Accuracy of listings or information
  • Non-infringement
  • Availability or uptime of the platform

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Lost profits or business opportunities
  • Damages arising from transactions between users
  • Damages exceeding the amount paid to us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your listings or content posted on the Platform

12. Termination

We reserve the right to:

  • Suspend or terminate your account at any time for violation of these Terms
  • Remove listings that violate our policies
  • Modify or discontinue the Platform with reasonable notice
  • Upon termination, you must cease all use of the Platform

13. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Communications

By providing your contact information, you consent to receive communications from us, including:

  • Service-related announcements
  • Marketing communications (which you may opt out of)
  • Calls and text messages to provided phone numbers

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform constitutes acceptance of the modified Terms.
